Affiliate Policy

This Affiliate Policy (“Policy”) outlines the terms and conditions governing the relationship between the operating company (“Company”) and participating affiliate marketers (“Affiliate”). By participating in the affiliate program, the Affiliate agrees to the terms outlined below.

1. Purpose

The Company appoints the Affiliate as a non-exclusive affiliate marketer for the promotion of the Company’s products through content creation, social media marketing, videos, livestreams, and other promotional activities.

2. Affiliate Discount Code

  • The Company shall provide the Affiliate with a unique discount code.
  • Customers using the Affiliate’s discount code shall receive a 10% discount on eligible purchases unless otherwise specified by the Company.
  • The discount code remains the property of the Company and may be modified, suspended, or discontinued upon termination of this arrangement.
  • The Affiliate may not share, distribute, or publish their discount code through mass coupon aggregator websites, browser extension coupon tools, or similar platforms (including but not limited to RetailMeNot, Honey, CouponFollow, and Rakuten).
  • The discount code is intended for use exclusively by the Affiliate’s own audience through the Affiliate’s own content channels.

3. Commission Structure

  • The Affiliate shall earn a commission equal to 10% of the original product sale price for qualifying purchases made using the Affiliate’s assigned discount code.
  • Commission calculations shall exclude:
    • Sales taxes.
    • Shipping charges.
    • Refunds issued within 30 days of purchase.
    • Chargebacks.
    • Cancelled orders.
  • No commission shall be earned on amounts not successfully collected by the Company.

4. Tracking, Attribution, and Cookie Window

  • Affiliate sales are tracked through the Company’s in-house affiliate program.
  • The Affiliate can access their dashboard, program details, and approved marketing images via the Company’s affiliate portal.
  • The records maintained within the Company’s affiliate platform shall be deemed accurate and conclusive for the purpose of calculating commissions unless a material system error is demonstrated.
  • Only purchases properly attributed to the Affiliate’s assigned discount code shall qualify for commission payments.
  • Referral tracking cookies remain active for 60 days from the date of the customer’s first click on an affiliate link.
  • Purchases completed within this 60-day window and using the Affiliate’s discount code shall qualify for commission.

5. Payment Terms

  • Commissions accumulate monthly.
  • If the unpaid balance equals or exceeds CAD $50.00 at the end of a calendar month, the Company will issue payment within the first five (5) business days of the following month.
  • Balances below CAD $50.00 carry forward until the threshold is met.
  • Upon termination of this arrangement, any unpaid commission balance, regardless of amount, shall be paid to the Affiliate within 45 days of the termination date.
  • Payment is issued through PayPal.
  • The Affiliate is solely responsible for maintaining accurate PayPal account information.

6. Non-Exclusivity

This arrangement is non-exclusive. The Affiliate may promote competing products, services, or businesses. The Company may appoint additional affiliates at its sole discretion.

7. Affiliate Responsibilities and Disclosure

The Affiliate agrees to:

  • Conduct promotions honestly and professionally.
  • Avoid misleading, deceptive, or false claims regarding Company products.
  • Comply with all applicable advertising and consumer protection laws.
  • Clearly disclose their affiliate relationship in every piece of content that references or promotes the Company’s products, in accordance with applicable laws and platform policies. This includes, but is not limited to, using disclosures such as “#ad”, “#sponsored”, “#affiliate”, or equivalent language that is clear and prominent to viewers.
  • Not make representations about product performance, compatibility, or specifications that are not supported by information provided by the Company.

The Company does not review or pre-approve Affiliate content before publication. The Affiliate is solely responsible for ensuring all content complies with this Policy and applicable law. The Company reserves the right to request removal of any content that violates this Policy.

8. Intellectual Property and Content License

  • The Affiliate may use the Company’s trademarks, logos, product images, and marketing materials solely for purposes related to this program.
  • All intellectual property rights owned by the Company shall remain the exclusive property of the Company.
  • The Affiliate shall immediately cease use of Company intellectual property upon termination unless otherwise authorized in writing by the Company.
  • The Affiliate retains ownership of all original content created by the Affiliate, including videos, photographs, livestream recordings, social media posts, reviews, and other promotional materials created in connection with this arrangement (“Affiliate Content”).
  • The Affiliate grants the Company a worldwide, non-exclusive, royalty-free, transferable, and sublicensable license to use, reproduce, modify, distribute, display, publish, repost, advertise, and otherwise exploit Affiliate Content for business and marketing purposes in any media now known or later developed. Such use may include, without limitation:
    • The Company’s website.
    • Product listings.
    • Social media platforms.
    • Digital advertisements.
    • Email marketing campaigns.
    • Printed marketing materials.
    • Trade show and promotional materials.
  • The Company may edit, resize, crop, reformat, or otherwise adapt Affiliate Content as reasonably necessary for marketing purposes, provided that such modifications do not materially misrepresent the Affiliate’s original views or statements.
  • Where reasonably practicable, the Company shall provide attribution to the Affiliate when reposting Affiliate Content; however, failure to provide attribution shall not constitute a breach of this Policy and shall not give rise to any claim for compensation or damages.
  • Upon termination or expiration of this arrangement, the Company may continue to use Affiliate Content that was already published or actively in use at the time of termination.
  • The Company shall not use new or previously unused Affiliate Content after the termination date without the Affiliate’s written consent.

9. Independent Contractor

The Affiliate is an independent contractor and is not an employee, partner, joint venturer, or agent of the Company. Nothing in this Policy shall be interpreted as creating an employment relationship.

10. Term and Termination

  • This arrangement shall commence upon the Affiliate’s acceptance into the program and continue until terminated.
  • Either Party may terminate this relationship at any time, for any reason or no reason, immediately and without prior notice.
  • The Company may also terminate immediately in the event of:
    • Fraudulent activity.
    • Abuse of discount codes, including distribution through coupon aggregator platforms.
    • Misleading or false representation of products.
    • Violation of applicable laws.
    • Conduct that may reasonably damage the Company’s reputation.
  • Upon termination, the Affiliate shall remain entitled to unpaid earned commissions accrued prior to the termination date, subject to the terms of this Policy.

11. Limitation of Liability

To the fullest extent permitted by law, the Company shall not be liable for any indirect, incidental, consequential, special, or punitive damages arising from this arrangement. The Company’s total liability shall not exceed commissions earned by the Affiliate during the three (3) months preceding the claim.

12. Governing Law

This Policy shall be governed by and interpreted in accordance with the laws of the jurisdiction in which the Company is headquartered. The Parties agree that the applicable courts shall have exclusive jurisdiction over disputes arising from this arrangement.
